1. Acceptance of Terms

By accessing and using Nexevus ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this service.

2. Description of Service

Nexevus is a SaaS platform that enables real estate professionals and other users to create digital profiles and showcase their portfolios. The Platform provides tools for:

• Creating and managing professional profile pages
• Showcasing real estate projects and property listings
• Managing contact information and social media links
• Tracking profile analytics and visitor engagement
• One Tap card integration for contactless profile sharing

3. User Accounts

You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. You must:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Not share your account with third parties

4. User Content

You retain ownership of content you upload to the Platform. By uploading content, you grant Nexevus a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content on the Platform. You represent that:

• You own or have the right to use all content you upload
• Your content does not infringe on any third party's intellectual property rights
• Your content complies with all applicable laws and regulations

5. Acceptable Use

You agree not to use the Platform to:

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any activity that interferes with or disrupts the Platform
• Attempt to gain unauthorized access to any portion of the Platform
• Use the Platform for any commercial purposes not expressly permitted by these Terms
• Collect or store personal data about other users without their consent

6. Subscription and Payments

Some features of the Platform require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected subscription plan
• Provide accurate billing information
• Authorize us to charge your chosen payment method for all fees
• Understand that subscription fees are non-refundable except as required by law

We reserve the right to modify subscription pricing with 30 days notice. You may cancel your subscription at any time.

7. Intellectual Property

The Platform, including its original content, features, and functionality, is owned by Nexevus and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Nexevus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses. In no event shall our total liability exceed the amount paid by you for the Platform services in the twelve (12) months preceding the claim.

10. Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will immediately cease. You may terminate your account at any time by contacting us.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved in the courts of the Philippines.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.
